Maherbs Vendor Agreement

This Vendor Agreement (“Agreement”) is made between Maherbs Marketplace (“Marketplace”) and the Vendor (“Vendor”) who wishes to sell products on the Maherbs Marketplace. By registering as a Vendor on the Marketplace, you agree to the following terms and conditions:

1. Introduction

Maherbs is an e-commerce platform where vendors can sell their products. This Agreement outlines the responsibilities and obligations of both Maherbs and the Vendor to ensure a safe, compliant, and efficient marketplace.

1.1 Purpose: This Agreement outlines the terms and conditions under which Vendors may sell their products on Maherbs.

1.2 Acceptance: By registering and using the Vendor services on Maherbs, you agree to be bound by this Agreement, the Privacy Policy, and any other guidelines or policies provided by Maherbs.

2. Vendor Requirements

2.1 Legal Status and License: Vendors must have the necessary legal status and licenses to sell their products according to the binding laws of their jurisdiction. If a Vendor lacks the required legal status or licenses, Maherbs reserves the right to revoke the Vendor’s credibility and suspend or terminate their account. If a vendor lacks the necessary legal status to engage in selling activities, the Platform (Maherbs) will not grant credibility to the vendor, and the vendor will bear all legal and other responsibilities.

2.2 Compliance:

Vendors must comply with all applicable laws, regulations, and industry standards related to their products and business operations.

Clause: “In the absence of specific vendor-provided refund, return, or shipping policies, the standard policies of Maherbs will automatically apply. Vendors are responsible for adhering to these default policies and for any issues arising from the lack of their own policies.”

2.3 Accurate Information: Vendors must provide accurate, current, and complete information about their business and products. Any changes to this information must be promptly updated.

3. Product Listings

3.1 Product Quality: All products listed on Maherbs must meet quality standards and be accurately described. Misleading or false descriptions are prohibited.

3.2 Prohibited Items: Vendors are prohibited from listing items that are illegal, hazardous, counterfeit, or otherwise violate Maherbs’ policies and guidelines , besides Maherbs adheres to the acceptable use policies of 2Checkout and Paystack to ensure a safe and compliant marketplace. The following products and services are prohibited on our platform:

Adult Entertainment:

  • Adult bookstores, video stores, and retailers of lingerie and sex toys: Includes stores that sell explicit adult content and paraphernalia.
  • Adult websites and content: Websites that host or distribute pornographic material.
  • Phone sex and adult phone conversations: Services offering sexually explicit conversations over the phone.
  • Fetish products and massage parlors (sexually oriented): Products or services catering to sexual fetishes and explicit massage services.
  • Gentleman’s clubs, topless bars, and strip clubs: Establishments providing adult entertainment.
  • Any products containing graphic or nude content: Includes any material featuring explicit images or videos.
  • Any illegal activities (e.g., pre-adult content, child pornography, bestiality): Activities and content that are illegal and harmful.
  • Web-based sexually oriented video: Online videos of an explicit sexual nature.

Restricted Products:

  • Airlines and air carriers: Companies that provide air transport services.
  • Antique shops: Stores specializing in selling and repairing antiques.
  • Automobile associations, rental agencies, dealers, and service shops: Businesses involved in selling, renting, or servicing automobiles.
  • Branded/trademark protected products without reseller rights: Selling branded products without authorization.
  • Contractors (pre-payments for handyman, repairs, etc.): Pre-payment services for various contractor services.
  • Courier services: Companies providing delivery and logistics services.
  • Cruise lines: Businesses offering cruise vacations.
  • Cyberlockers, file sharing, and file storage services: Services offering online storage and sharing, which can involve illegal content distribution.
  • Dating services, including companion/escort services and matrimonial sites: Platforms for dating, including those with explicit or sexual services.
  • Embassy, consulate, or foreign government services: Governmental services provided by foreign entities.
  • Exterminating and disinfecting services: Companies offering pest control and sanitation services.

Financial Services:

  • Virtual, digital, and cryptocurrency services: Services involving virtual currencies and digital financial transactions.
  • Multi-purpose stored value cards and wallet top-up: Services providing rechargeable payment cards or e-wallets.
  • Extended warranty companies: Companies offering extended warranties on products.
  • Payday loans: Short-term, high-interest loans.
  • Financial advice: Advisory services related to finance.
  • Collection agencies or firms: Businesses involved in collecting debts.
  • Credit counseling or repair services: Services offering credit score improvement.
  • Currency exchange or counterfeit currency: Services exchanging currencies, including counterfeit operations.
  • Debt consolidation: Services consolidating multiple debts into one.
  • Loan or mortgage modification: Services modifying the terms of loans or mortgages.
  • Credit card protection (including identity theft protection): Services protecting against credit card fraud and identity theft.
  • Securities trading, futures, options, CFDs, Forex trading, ICOs: Various forms of trading financial instruments and initial coin offerings.

Health and Wellness:

  • Internet pharmacies and referral sites: Online platforms selling prescription and over-the-counter medications, as well as referral websites that link to such pharmacies.
  • Medical benefits packages and services: Health insurance plans, supplemental insurance, wellness programs, employee benefit packages, medical discount cards, and preventive care services.
  • Unapproved medical devices, equipment, and supplies (e.g., COVID test kits): Medical products not approved by relevant health authorities.
  • Narcotics, steroids, and drug paraphernalia: Illegal drugs and associated equipment.
  • Controlled substances and psychoactive products: Products that alter mental states, including medical marijuana and synthetic cannabis.

Gaming and Gambling:

  • Online gaming and in-game purchases: Virtual gaming platforms and associated microtransactions.
  • Online gambling, prognostication, lotteries, raffles, contests, and sweepstakes: Various forms of online betting and prize-based activities.
  • Sports forecasting or odds-making: Services predicting sports outcomes or providing betting odds.

Miscellaneous:

  • Online sales of alcohol and tobacco (including vapes and e-cigarettes): E-commerce platforms selling alcoholic beverages and tobacco products.
  • Opticians and optical goods: Businesses selling eyeglasses and related products.
  • Organizations (charitable, social service, religious): Non-profit and religious organizations.
  • Real estate agents and managers: Real estate professionals and property management services.
  • Phone unlocking and modification services: Services altering or unlocking mobile phones.
  • Police and government identification and equipment: Unauthorized sale of official identification and equipment.
  • Replica and unlicensed branded goods: Counterfeit products mimicking branded goods.
  • Transportation services (e.g., suburban and local commuter): Local and commuter transportation services.
  • Veterinary services: Services offering animal healthcare.
  • Weapons or replica weapons: Sale of firearms, ammunition, and imitation weapons.
Reporting Violations

If you encounter any products or services on Maherbs that violate our policies, please contact us immediately at [contact email] or through our contact form. Your vigilance helps us maintain a safe and compliant marketplace.

Enforcement and Penalties

Any vendors found to be in violation of our policies will face penalties, including the removal of the offending products and potential suspension or termination of their account. We are committed to upholding the highest standards and ensuring all vendors comply with the regulations set forth by our payment gateways and legal requirements.

3.4 Pricing: Vendors are responsible for setting their product prices, which must be fair, competitive, and transparent.

4. Order Fulfillment

4.1 Processing Time: Vendors must process and ship orders within the handling time specified in their listings.

4.2 Shipping: Vendors must provide accurate shipping information and ensure timely delivery of products.

4.3 Customer Service: Vendors are responsible for providing prompt and courteous customer service, including handling inquiries, complaints, and returns.

5. Fees and Payments

5.1 Commission: Maherbs will charge a commission fee on each sale made through the Platform. The commission rate will be specified in the Vendor’s account.

5.2 Payments: Vendors will receive payments for their sales, minus the commission fee, through the payment methods provided by Maherbs.

6. Withdrawals

6.1 Withdrawal Timing: Vendors may request withdrawals of their earnings once their account balance reaches a minimum of 50 dollar . Withdrawals can be requested on a [weekly/monthly] basis.

6.2 Processing Time: Withdrawal requests will be processed within 5 to 7 business days from the date of the request. Vendors will be notified once the withdrawal has been processed.

6.3 Conditions: Withdrawals are subject to the completion of any pending orders and the resolution of any outstanding disputes or claims. Maherbs reserves the right to withhold withdrawals if there are any compliance issues or violations of this Agreement.

6.4 Fees: Maherbs may charge a processing fee for each withdrawal. The fee amount will be specified in the Vendor’s account.

7. Liability and Indemnification

7.1 Vendor Liability: Vendors are solely responsible for their products and any claims or liabilities arising from their sale and use. Maherbs is not liable for any issues related to Vendor products.

7.2 Indemnification: Vendors agree to indemnify and hold Maherbs harmless from any claims, damages, or expenses arising from their products, listings, or business practices.

8. Termination

8.1 Termination by Vendor: Vendors may terminate this Agreement at any time by closing their account on Maherbs.

8.2 Termination by Maherbs: Maherbs reserves the right to suspend or terminate a Vendor’s account for any violation of this Agreement, applicable laws, or Platform policies.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Morocco. Any disputes arising under or in connection with this Agreement shall be resolved through arbitration or mediation in Morocco.

10. Amendments

Maherbs reserves the right to modify this Agreement at any time. Vendors will be notified of any changes via email or through the Platform. Continued use of the Vendor services constitutes acceptance of the revised Agreement.
